Declare Null and Void a Resolution Accepted by the Illegitimately Called CEC Meeting on March 7, 2023

WHEREAS, the attendees at the illegitimately called CEC meeting of March 7, 2023, passed a resolution (The Resolution) appointing Charles A. Parada to be its Corporate Representative; and

WHEREAS, the attendees of this same meeting authorized Charles A. Parada “to appear on behalf of the body in all legal proceedings etc.;” and

WHEREAS, the attendees claim the authority to make this appoint through a resolution to be in compliance with the accepted 2022-2024 Bylaws Article XV; and

WHEREAS, the accepted 2022-2024 Bylaws DO NOT grant the CEC the authority to appoint anyone other than those specifically named in the Bylaws to be the legal representative, nor do they grant such person any authority to enter into contracts on behalf of the CEC without specific CEC prior approval; and

WHEREAS, the accepted 2022-2024 Bylaws state “Article XV, Section 1, Approval,  Any contract shall need the review and approval of the Steering Committee before consideration and approval by the Executive Committee. Section 2, Who can sign, Contracts can only be signed by the County Chairman, and/or Vice Chairman, and/or Treasurer after approval by the Executive Committee. Section 3, Duration, No contract has any effect beyond the 20th day after the 2022 (2024) Montgomery County republican Runoff election. Section 4, Responsibility, The signer(s) bear personal financial responsibility and other obligations for any contracts extending or having any effect beyond the 20th day after the 2022 (2024) Montgomery County republican Runoff election;” and

WHEREAS, The Resolution refers to “Texas Rules of Civil Procedure 199.2(b)(1) and Federal Rule of Civil Procedure 30(b)(6)” as a source of authority for The Resolution’s purpose, these rules apply to corporations and not private organizations, nor do they usurp the authority of the accepted Bylaws of the Montgomery County Republican Party of Texas.

THEREFORE, LET IT BE RESOLVED that The Resolution passed by the attendees at the illegitimately called CEC meeting held on March 7, 2023, is in direct violation of and is contrary to the accepted 2022-2024 Bylaws.

LET IT ALSO BE RESOLVED that The Resolution is therefore declared null and void, and Charles A. Parada has no legal authority to represent the Montgomery County Republican Party of Texas for any actual or perceived legal proceeding as described in The Resolution.
